Terms of Service

1. Acceptance of terms
By accessing or using validios.com (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service. These terms form a binding agreement between you and Validios (ABN 13 121 057 709), based in Sydney, NSW, Australia.
2. The service
Validios is an online vendor background check platform. We run a set of automated checks against publicly available data sources and produce a report intended to support your own decisions about whether to engage a vendor. The Service is advisory only — it is not legal, financial, accounting or compliance advice. See our Disclaimer for full details.
3. Pricing
- Single report: $19.99 AUD per report, charged once, payable before the report is delivered.
- Subscription: $250 AUD per month, which includes up to 10 reports per month and access to your assessment dashboard.
All prices are in Australian dollars. GST is included where applicable. Payments are processed by Stripe. By submitting payment you authorise the corresponding charge.
4. Refunds
Reports are generated immediately on request and contain time-sensitive information. For this reason, all sales are final and we do not offer refunds for change of mind. If a technical failure on our side prevents your report from being delivered, we will either re-run the report at no additional charge or refund the amount you paid.
5. Subscription cancellation
You can cancel a subscription at any time by emailing hello@validios.com. Cancellation takes effect at the end of the current paid billing period. We do not pro-rate partial months. Your account and assessment history are deleted within 30 days of the end of the final billing period.
6. Acceptable use
When you use Validios, you agree not to:
- Use the Service to harass, defame, threaten or otherwise harm any vendor or person;
- Scrape, copy, mirror, reverse-engineer or resell any part of the Service or our reports;
- Use automated tools, bots or scripts beyond ordinary browser use;
- Submit information you do not have a lawful basis to query;
- Attempt to interfere with the security or availability of the Service.
7. Intellectual property
The Validios brand, website, source code, report templates and aggregated presentation of data are our intellectual property. Underlying public data sourced from third parties remains owned by those sources or in the public domain. You receive a non-exclusive, non-transferable licence to use reports you have paid for, internally within your organisation, for the purpose of evaluating the vendor in question.
8. Disclaimers
Reports are based on publicly available information at the time of generation. We cannot guarantee the accuracy, completeness or currency of third-party data sources. The Service is provided on an "as is" and "as available" basis. Please read the full Disclaimer for additional context.
9. Limitation of liability
To the maximum extent permitted by Australian Consumer Law, our total aggregate liability to you for any claim arising out of or relating to the Service is limited to the amount you paid for the specific report giving rise to the claim, or one month of subscription fees, whichever is greater. We are not liable for indirect, consequential, incidental or special damages, including lost profits or lost business opportunities.
10. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy that you have under the Australian Consumer Law that cannot lawfully be excluded.
11. Indemnification
You agree to indemnify and hold Validios harmless from any third-party claim arising out of your misuse of the Service, your breach of these terms, or your decisions made on the basis of a report. We agree to defend and indemnify you against third-party claims that the Service itself, used as intended, infringes that third party's intellectual property rights.
12. Governing law
These terms are governed by the laws of New South Wales, Australia. The courts of New South Wales have exclusive jurisdiction over any dispute arising out of or relating to these terms or the Service.
13. Termination
We may suspend or terminate your access to the Service if you breach these terms, including the acceptable-use rules in section 6. Where reasonable, we will give you notice and an opportunity to cure the breach. On termination, sections that by their nature should survive (including limitation of liability, intellectual property, and governing law) will survive.
14. Changes to these terms
We may update these terms from time to time. The "Effective" date at the top of this page will reflect the latest version. For material changes, subscribers will be notified by email. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.
